Your use of our any services offered by Points.com Inc. ("Points.com"), including any purchase of Air Europa SUMA MILES as provided below, indicates your acknowledgment and agreement to these Terms and Conditions, as well as our Privacy Policy and other notices posted on the services.

You acknowledge and accept these terms and conditions (these Terms and Conditions) by submitting your online request to purchase Air Europa SUMA MILES from Points.com Inc. The local offices of Points International (UK) Points.com Inc. ("Points.com") Limited are located at WeWork, 123 Buckingham Palace Road, London, SW1W 9SH. The head office of Points.com Inc. is located at 111 Richmond Street West, Suite 700, Toronto, Ontario M5H 2G4 Canada.

1. You must be considered a member in good standing of the Air Europa SUMA Program in order to purchase for yourself, purchase as a gift for a recipient, Air Europa SUMA MILES from Air Europa SUMA.
2. Your request to purchase or transfer Air Europa SUMA MILES shall not be effective until accepted by Points.com Inc. Acceptance by Points.com Inc. shall be evidenced only by the actual deposit of purchased or transferred Air Europa SUMA MILES into your account or the account of the recipient you have designated. Notwithstanding the foregoing, Points.com Inc. and Air Europa SUMA MILES reserve the right to revoke or cancel any acceptance, and/or reverse transactions as set forth below.
3. Without limiting the generality of the preceding Section you may not sell, barter or otherwise conduct any unauthorized distribution of any Air Europa SUMA MILES purchased hereunder. If any Air Europa SUMA MILES purchased by you are resold, distributed or used for improper purposes, as determined by Points.com Inc. in its sole and absolute discretion, or obtained through credit card abuse or fraud or other illegal means, Points.com Inc. may, at its option and with the assistance of Air Europa SUMA, cancel, void, refuse to honour or confiscate such Air Europa SUMA MILES, and pursue any and all other rights and remedies that may be available, including, where deemed appropriate by Points.com Inc. and Air Europa SUMA MILES, S.L.U., closure of your account, forfeiture of all Air Europa SUMA MILES in your account, and/or termination in your participation in the Air Europa SUMA Program or other loyalty programs you participate in through Points.com Inc. You agree that Points.com Inc. may debit Air Europa SUMA MILES from your account, or the account you have given Air Europa SUMA MILES to, in connection with the foregoing. If your account is the recipient account designated to receive the gifted Air Europa SUMA Miles, you agree that Points.com Inc. may debit any such gifted Air Europa SUMA MILES from your account in connection with the foregoing. You agree to fully cooperate with all reasonable requests of Points.com Inc. and its representatives concerning any investigation or prosecution of anyone engaging in, or suspected of engaging in, abuse or fraud with respect to any transactions relating to Air Europa SUMA MILES hereunder.
4. You irrevocably acknowledge and agree that any purchase transactions of Air Europa SUMA MILES are non-refundable.
5. You acknowledge and agree that, pursuant to the terms and conditions set by Air Europa SUMA Miles or the Air Europa SUMA Program, any purchased of Air Europa SUMA MILES do not count toward qualification for any increased or improved status in the Air Europa SUMA Program.
6. Air Europa SUMA MILES may be purchased, for yourself or as a gift, with a maximum of 100.000 Air Europa SUMA MILES per transaction. The maximum number of Air Europa SUMA MILES you may purchase for yourself in a given calendar year is 100.000, you may also purchase an additional 100.000 Air Europa SUMA MILES per calendar year as a gift. You may likewise receive a maximum of 100.000 Air Europa SUMA MILES per calendar year as gifts. Check the number of SUMA Miles available for purchases or gift in www.aireuropa.com
7. The SUMA Miles Purchaser must have at least one SUMA MILE in their Air Europa SUMA MILES account to buy & gift SUMA MILES. If the Purchaser has a balance of zero SUMA MILES, they will need to have collected or redeemed SUMA MILES in the past 24 months to buy SUMA MILES.
8. The Purchaser will be unable to buy & gift SUMA MILES if they have a negative balance.
9. The buy & gift SUMA MILES year begins 1 January and ends 31 December.
10. Purchasing SUMA MILES will reset the 24-month SUMA MILES expiry rule, as set out in the Air Europa SUMA General Terms and Conditions, https://www.aireuropa.com/es/en/aea/suma/our-program/terms-and-conditions.html
11. The Purchaser must have enrolled into the Air Europa SUMA Program at least 60 (sixty days) before the first SUMA MILES buy & gift transaction.
12. There may be occasions where there is a delay of up to 3 working days in the SUMA MILES being credited to your account.
13. The purchase or transfer of Air Europa SUMA MILES is not a guarantee of the availability of any rewards associated with the Air Europa SUMA Program or any other partner and/or service, and Points.com Inc. shall have no liability or responsibility if you or the recipient you have designated are unable to use or redeem any purchased or transferred Air Europa SUMA MILES for any reason.
14. You agree to make full payment for each transaction hereunder with a valid credit card to Points.com Inc. prior to any Air Europa SUMA MILES being posted to your account or the account of the recipient you have designated. By submitting a request to purchase or transfer Air Europa SUMA MILES you authorize Points.com Inc. or its representative to charge the credit card number you provided.
15. You agree that the awarding and use of all Air Europa SUMA MILES, including those purchased hereunder, are subject to the terms, conditions, exclusions and limitations of the Air Europa SUMA Program and that Air Europa has the sole and exclusive authority and responsibility for operating, modifying, terminating and establishing the terms and conditions applicable to the Air Europa SUMA Program. Points.com Inc. shall have no liability or responsibility to you for, and has no obligation to notify you of, any action, inaction or decision taken by Air Europa SUMA MILES in connection with the Air Europa SUMA Program. You hereby agree not to make any claim against Points.com Inc. for any action, inaction or decision taken by Air Europa SUMA MILES in connection with the Air Europa SUMA Program. Points.com Inc. shall not be treated as the agent of Air Europa SUMA MILES for any purpose.
16. To the fullest extent permitted by applicable law, you shall indemnify, defend and hold Points.com Inc. and its affiliates, and their respective directors, officers, employees, contractors, partners, agents, affiliates, successors and assigns, harmless from and against any and all losses, obligations, claims, damages, demands, liabilities, suits, actions, costs, fees and expenses whatsoever incurred, suffered or borne by or asserted against any such persons in any way relating to, arising out of or resulting from (i) your use of the Points.com Inc. services, the Air Europa SUMA Program, or any purchase, or use of Air Europa SUMA Miles; or (ii) any breach by you of these Terms and Conditions.
17. The Air Europa SUMA MILES purchased by you and any associated services are provided "as is" without warranty, representation, condition or guarantee of any kind, either expressed or implied, including but not limited to any implied warranties, representations, conditions or guarantees of quality, merchantability, merchantable quality, fitness for a particular purpose or non-infringement, all of which are disclaimed to the fullest extent permitted by applicable law.
18. Points.com Inc.'s entire liability, regardless of the form of cause of action, demand or claim, whether based on contract or tort, including negligence, shall in no event exceed the amount paid by you for the purchase of Air Europa SUMA MILES in the twelve months preceding the event giving rise to the action, demand or claim. In no event shall Points.com Inc. be liable for any special, indirect, incidental or consequential damages suffered in connection with these terms and conditions or your purchase or transfer of Air Europa SUMA MILES howsoever caused and regardless of the form of cause of action, demand or claim, whether based on contract or tort, including negligence, and even if such damages are foreseeable or Points.com Inc. has been advised of the possibility of such damages.
19. You shall comply with all laws, rules and regulations applicable to these Terms and Conditions and your purchase or transfer of Air Europa SUMA MILES.
20. These Terms and Conditions are governed exclusively by the laws of the Province of Ontario, Canada and the laws of Canada applicable therein, without regards to conflicts of law principles thereof. To the fullest extent permitted by applicable law, any claim, dispute or controversy between you and Points.com Inc. shall be determined by final and binding arbitration to the exclusion of the courts. Such arbitration will be conducted in Toronto, Ontario, Canada on a simplified and expedited basis by one arbitrator pursuant to the current laws and rules relating to commercial arbitration in Ontario. If the foregoing arbitration is not permitted by applicable law or any court with jurisdiction, you irrevocably agree that all claims, disputes or controversies shall be settled exclusively by the courts of the Province of Ontario, located in Toronto, Ontario. Further, Points.com Inc. retains the right to seek immediate injunctive relief if, in its business judgment, such relief is necessary to protect its interests prior to utilizing or completing the dispute arbitration processes described in this Section.
21. You may not assign or transfer these Terms and Conditions, or any right or obligation hereunder.
22. These Terms and Conditions, together with your purchase request, constitute the entire agreement between you and Points.com Inc. with respect to the subject matter hereof and supersede all prior or contemporaneous agreements or understandings, if any, whether written or oral, relating to such subject matter. No modification, amendment or waiver of these Terms and Conditions shall be effective or binding unless made in writing and signed by Points.com Inc. If any provision of these Terms and Conditions is found to be or becomes invalid or unenforceable, whether in whole or in part, such provision or part thereof declared invalid or unenforceable shall be deemed to be severable and shall be deleted from these Terms and Conditions and all remaining terms and conditions of these Terms and Conditions shall continue to be valid and enforceable.
23. Points.com Inc. shall have no liability for delays or failure in its performance hereunder caused by any act of God, war, strike, labour dispute, work stoppage, fire, act of government, or any other cause, whether similar or dissimilar beyond its control.
24. Air Europa SUMA MILES is not liable for any damages suffered by you in connection with these Terms and Conditions, your purchase or transfer of Air Europa SUMA MILES from Points.com Inc., or any other activity with Points.com Inc. howsoever caused and regardless of the form of cause of action, demand or claim, whether based on contract or tort, including negligence, and even if such damages are foreseeable or you have advised of the possibility of such damages.
